Summary:
This series consists of copies of domestic insurance company bylaws filed with the New York State Insurance Department as
required by provisions of the State Insurance Law. A set of bylaws is considered a legal document that defines a corporation's
purpose, the manner in which it will manage its affairs and elect its leadership, and the duties and responsibilities of people
who own and manage it.

Administrative History
In 1916, with automobile transportation becoming more widespread, the State Legislature enacted two laws regulating the formation
of mutual companies insuring automobile operators against liability for injuries suffered by persons (Chapter 13) and insuring
automobile owners against damage to automobiles (Chapter 14). Both statutes stipulated that by-laws could be adopted by the
directors of said mutual insurance corporations following the receipt of a certified copy of the certificate of incorporation
from the superintendent of insurance, provided that said by-laws were first approved by the superintendent of insurance. Thereafter,
members of said mutual insurance corporations were free to adopt or amend by-laws, provided that all new or amended by-laws
were first approved by the superintendent of insurance. Chapter 882 of the Laws of 1939 extended the requirement of superintendent
approval, prior to the adoption, repeal, or amendment of by-laws, to domestic mutual insurance corporations generally.
Scope and Content Note
This series consists of copies of domestic insurance company bylaws filed with the New York State Insurance Department as
required by provisions of the State Insurance Law. As bylaws of active companies are amended, superseded versions are removed
to inactive files, to be preserved for historical value and potential research use. Bylaws consist of rules adopted by insurance
corporations for the government of members and the regulation of company affairs. A set of bylaws is considered a legal document
that defines a corporation's purpose; the manner in which it will operate, elect its leadership, and compensate its officers;
and the duties and responsibilities of people who own and manage it.
Acquisition Information
Only records for companies with names beginning with letters A-J were transferred to the State Archives by the Insurance Department
as part of the original accession in 1992. No further transfers have been received.
